1. About these Terms
These Terms apply whenever you visit our website or use any service we provide through it, whether or not you have an account. You accept them when you first use the website, and expressly when you create an account, submit an application, place an order, register for an event or send us an enquiry.
These Terms should be read together with our Privacy Policy, Cookie Policy and Refund & Cancellation Policy, which form part of them. Particular programmes, events or products may also have specific conditions, which we will show you before you commit. If a specific condition conflicts with these Terms, the specific condition applies to that programme, event or product.
2. Definitions
- Website means the IDEaL website and all its pages, including the user dashboard.
- Services means everything we offer through the Website, including training, examination testing, career development, community development and consultancy programmes, events, the IDEaL Store, free resources, Partner With Us and our media content.
- Programme means any training, course, examination, workshop, mentoring or other learning activity offered by or through IDEaL.
- Partner means a third party that delivers, certifies or provides part of a Service, such as an examination body, learning platform or training provider.
- You means the person using the Website, or, where you act for an organisation, both you and that organisation.
3. Eligibility and children
You must be at least 18 years old to create an account and use the Services on your own. If you are between 13 and 17, you may create an account only after your parent or legal guardian approves it. Your parent or guardian accepts these Terms on your behalf and is responsible for your use of the Services, including any payment. Children under 13 may not hold an account; a parent, guardian or school may register them for a Programme or event by contacting us.
We may ask for evidence of age or of parental consent, and we may suspend or close an account where the required consent has not been given or has been withdrawn. If you use the Website on behalf of an organisation, you confirm that you have authority to bind it to these Terms.
4. Your account
- You must give accurate, current and complete information and keep it up to date in your profile.
- You are responsible for keeping your password secret and for activity on your account. Do not share your account. Tell us immediately at support@ideal-nig.org if you believe someone else has used it.
- One person may hold one account. Accounts are personal and cannot be sold or transferred.
- We will never ask for your password by email, phone or message.
- You can ask us to close your account at any time. Records we must keep by law (for example payment records) are kept as described in our Privacy Policy.
5. Our services
We describe our Services, Programmes, products and events as accurately as we can. Descriptions, photographs, schedules, venues, facilitators and content are given in good faith and may change for reasons such as Partner requirements, facilitator availability or safety. If we make a change that significantly affects something you have paid for, we will tell you and offer you the options set out in our Refund & Cancellation Policy.
Information on the Website, including blog articles, podcasts, help guides and career listings, is general information. It is not professional, legal, financial or career advice tailored to your circumstances.
6. Enrollment applications and programmes
- Submitting an application or enrollment form is a request to join a Programme. It is not a guarantee of a place. A binding agreement is formed only when we confirm your place in writing (for example by email or in your dashboard).
- Places may be limited and may depend on eligibility, entry requirements, availability or verification of documents and payment.
- You confirm that the information and documents you submit are true, complete and your own. Submitting false or altered documents, or someone else’s documents, may lead to your application or place being cancelled without refund, and may be reported to the relevant authorities.
- You agree to follow the rules of the Programme, venue and any Partner, including attendance, assessment and conduct requirements.
- Certificates are issued only to participants who meet the completion requirements of the Programme or the issuing Partner.
7. Examinations and partner organisations
Some Programmes, examinations, certifications and learning resources are delivered, certified or hosted by Partners (for example examination bodies and online learning platforms). Where this is the case:
- The Partner’s own terms, policies, examination rules and fees also apply, and you agree to comply with them.
- Decisions about examination results, certification, re-sits, identity checks and malpractice are made by the Partner. IDEaL does not control and cannot change those decisions.
- We share with the Partner only the information needed to register you, as described in our Privacy Policy.
- We are not responsible for a Partner’s acts, omissions, systems or availability, except where we are responsible under the law.
8. Prices and payment
- Prices are shown in Nigerian Naira (NGN) unless another currency is clearly stated, and include any taxes that apply unless we say otherwise.
- Payment is made by bank transfer to the IDEaL account details shown on the Website at checkout or in our written confirmation. Always check that the account name is IDEaL before paying. We are not responsible for payments made to any other account, or in response to messages that did not come from our official channels.
- Your order, enrollment or booking is confirmed only after we have verified your payment. Uploading proof of payment helps us confirm it faster but is not itself confirmation.
- You are responsible for bank charges on your side. Please use the payment reference we give you so that we can match your payment.
- If we discover an obvious pricing error, we will tell you before confirming your order and you may choose to continue at the correct price or cancel for a full refund of anything you paid.
- We may change our prices at any time, but a change does not affect an order or enrollment we have already confirmed.
- We do not offer credit. Where we agree an instalment arrangement in writing for a Programme, you must keep to the agreed schedule, and we may pause your access to the Programme if a payment is missed.
9. The IDEaL Store
- The IDEaL Store is a catalogue of products, services and resources. Adding an item to your cart or submitting an order is an offer to buy. A contract is formed when we confirm your payment and order.
- Products are not delivered through the Website. After confirming your payment, IDEaL sends digital products, access keys and booking details to the email address on your order, and arranges collection or delivery of physical products with you.
- Stock is limited. If an item becomes unavailable after you have paid, we will offer you an alternative or a full refund.
- Some listings invite you to enquire for a price. An enquiry is not an order. Any quotation we send you will state how long it is valid for.
- Access keys, licences and vouchers are subject to the issuer’s terms and expiry dates. Please redeem them promptly and keep them secure.
10. Free resources and third-party links
Some free resources are claimed through your dashboard and open on another organisation's website. Some links on our Website, including some free resource links, are affiliate or partner links: IDEaL may receive a referral benefit or recognition from the provider when you sign up through them. This does not change what you pay.
Third-party websites, platforms and embedded content (such as YouTube videos, podcast players and maps) are operated by their owners under their own terms and privacy policies. We do not control them and are not responsible for their content, availability or practices. Free resources are provided as they are, and providers may change or withdraw them at any time.
11. Events
- Registration is confirmed when we confirm it to you. For paid events, registration is confirmed after we verify your payment.
- Where an event has limited places, places are allocated in the order registrations are confirmed.
- You must follow the venue’s rules and the reasonable instructions of our staff, including safety and security instructions. We may refuse entry to, or remove, anyone who behaves in a way that is unsafe, unlawful or disruptive, without refund.
- Events may be photographed or filmed. See section 15.
- Event programmes, speakers, dates and venues may change. If an event is cancelled or substantially changed, our Refund & Cancellation Policy applies.
12. Cancellations and refunds
Cancellations, rescheduling and refunds are governed by our Refund & Cancellation Policy. Nothing in that policy or these Terms limits your rights under the Federal Competition and Consumer Protection Act 2018 or any other law that protects consumers, including your right to goods and services that are of satisfactory quality and match their description.
13. Partner With Us and contributions
Enquiries made through Partner With Us are expressions of interest. A sponsorship, partnership or contribution is agreed only when IDEaL and the partner confirm its details in writing, and the written agreement governs it. Contributions are used for the purpose agreed. Where a purpose can no longer be achieved, we will discuss an alternative use with the contributor. We publish progress updates and acknowledge contributors publicly only where they have agreed.
Unless we confirm otherwise in writing, IDEaL does not issue tax-deduction receipts, and contributors should take their own advice on any tax treatment.
14. Content you submit
“Your content” means anything you submit through the Website, such as application details, documents, messages, feedback, reviews and testimonials. You keep ownership of your content. You confirm that you have the right to submit it, that it is accurate, and that it does not infringe anyone's rights or break the law.
- You allow us to use your content to provide the Services to you, to operate and improve the Website and to comply with the law.
- Testimonials and feedback you agree to publish may be displayed on the Website and in IDEaL’s promotional materials, with the name and details you approved. You may ask us to stop using a testimonial at any time; we will remove it from the Website and stop using it in new materials, but cannot recall printed materials already distributed.
- We may decline, edit for length or clarity (without changing its meaning), or remove content that breaks these Terms.
- Do not submit confidential information or other people’s personal data unless it is required for the Service and you have their permission.
15. Photographs, videos and the Gallery
IDEaL photographs and films its Programmes, graduations, excursions and events to report on and promote its work, including in the Gallery on our Website and on our social media. We will tell participants when photography or filming is taking place.
- If you do not wish to be photographed or filmed, please tell the organisers or photographer at the event, and we will do our best to respect your wish.
- We do not publish identifiable images of children under 18 without the consent of a parent or guardian, which may be given at registration or in writing.
- You can ask us at any time to remove a photograph or video of you (or of your child) from the Website. Email support@ideal-nig.org with the page address. We will remove it promptly, normally within 5 working days.
- You may not copy, download for redistribution, edit or use images from the Gallery for any commercial purpose, or in a way that could embarrass or harm the people in them.
16. Acceptable use
When using the Website, you must not:
- Break any law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, or help anyone else to do so.
- Submit false, misleading or fraudulent information, documents or proof of payment, or impersonate any person or organisation.
- Attempt to gain unauthorised access to the Website, other users’ accounts, our systems or data, or test their security without our written permission.
- Upload viruses or harmful code, or interfere with the proper working of the Website, including by overloading it.
- Use bots, scrapers or other automated means to access the Website or collect data from it, except search engines indexing public pages.
- Collect or misuse other users’ personal data, or send spam or unsolicited messages.
- Post or send content that is unlawful, defamatory, hateful, harassing, obscene or that infringes intellectual property or privacy rights.
- Share, resell or misuse access keys, vouchers, course materials or free resource links intended for you alone.
If you discover a security weakness in the Website, please report it to support@ideal-nig.org and do not exploit or disclose it.
17. Intellectual property
The Website and its content, including text, course materials, graphics, logos, photographs, videos, podcasts, software and the IDEaL name and marks, belong to IDEaL or its licensors and are protected by the Copyright Act 2022, the Trade Marks Act and other laws. Partner names and logos belong to their owners and are used with permission.
You may view, download and print content for your personal, non-commercial use, and share links to our pages. You may not copy, reproduce, republish, sell, adapt or distribute our content or course materials, or remove copyright notices, without our prior written permission. Course materials are licensed to you for your own learning only.
18. Information, results and disclaimers
- Completing a Programme, passing an examination or obtaining a certificate depends on your own effort and on the assessment rules of IDEaL or the issuing Partner. We do not guarantee that you will pass an examination, obtain a certification, get a job, a promotion, admission or any particular income or outcome.
- Career listings on the Website are published for information. Recruitment decisions are made by the employer concerned, under its own process.
- We work to keep the Website available, accurate and secure, but we do not promise that it will be uninterrupted, error-free or free from harmful components. We may suspend the Website for maintenance, security or reasons beyond our control.
Except as set out in these Terms and except for any rights you have under the law that cannot be excluded, the Website and free resources are provided “as is” and “as available”.
19. Limitation of liability
What we do not exclude
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded, including your rights under the Federal Competition and Consumer Protection Act 2018 and the Nigeria Data Protection Act 2023.
Limits
Subject to the paragraph above:
- We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.
- We are not liable for business losses, such as loss of profit, revenue, contracts or business opportunity, where you use the Services for business purposes.
- We are not liable for losses caused by Partners or other third parties we do not control, by your failure to follow our instructions or to keep your account secure, or by events beyond our reasonable control (section 22).
- Our total liability to you for all claims connected with a particular order, enrollment, booking or Service is limited to the amount you paid for it. Where you have paid nothing, it is limited to ₦50,000.
20. Indemnity
If you use the Services in breach of these Terms or the law (for example by submitting false documents, infringing someone else's rights or misusing the Website), you agree to compensate IDEaL for reasonable losses, costs and expenses (including reasonable legal fees) that we suffer as a direct result of a third-party claim arising from that breach. This does not apply to the extent the loss was caused by our own fault.
21. Suspension and termination
We may suspend or close your account, or refuse or cancel an application, order or registration, if we reasonably believe that you have seriously or repeatedly broken these Terms, provided false information, acted fraudulently or unlawfully, put other users or our staff at risk, or if the law or a regulator requires it. Where reasonable, we will tell you why and give you a chance to respond first.
If we cancel a confirmed Service for a reason that is not your fault, you are entitled to a refund of what you paid for the part not provided. If we cancel because of your serious breach of these Terms, our Refund & Cancellation Policy applies. Sections that by their nature should continue after termination (including sections 14, 15, 17 to 20, 24 and 25) continue to apply.
22. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, flooding, epidemics, fire, strikes, civil unrest, government action, failures of power, internet or banking systems, or the failure of a Partner or service provider. If such an event affects a Service you have paid for, we will tell you as soon as possible and will reschedule it or, if that is not possible, offer you a refund for the part not provided.
23. Changes to these Terms and our services
We may update these Terms to reflect changes in the law, our Services or how we operate. We will publish the new version on this page with a new “Last Updated” date. If a change is significant, we will tell account holders by email or on the Website at least 14 days before it takes effect, unless the change is required sooner by law. Changes do not apply to orders, enrollments or bookings already confirmed. If you do not agree to a change, you may close your account before it takes effect; if you continue to use the Website after that, the updated Terms apply.
24. Complaints and disputes
If you have a complaint, please contact us first using the details in section 27. We will acknowledge it within 5 working days and aim to resolve it within 30 days.
If we cannot resolve a dispute between us through good-faith discussion within 30 days, either of us may refer it to mediation at the Delta State Multi-Door Courthouse or another mediator we both agree. If mediation does not resolve the dispute within 60 days, or either of us declines it, the dispute may be taken to court under section 25. Nothing in this section prevents you from contacting the Federal Competition and Consumer Protection Commission (FCCPC) or the Nigeria Data Protection Commission (NDPC), or either of us from seeking urgent relief from a court.
25. Governing law and jurisdiction
These Terms and any dispute arising from them or from your use of the Website or Services are governed by the laws of the Federal Republic of Nigeria. The courts of Delta State, Nigeria have jurisdiction, without affecting any right you may have to bring proceedings in another court that has jurisdiction under the law.
26. General
- Entire agreement: these Terms, the policies referred to in them and any specific conditions we confirm to you in writing are the whole agreement between you and IDEaL about the Services.
- Severability: if a court finds any part of these Terms invalid or unenforceable, the rest remains in force.
- No waiver: if we do not enforce a right immediately, we can still enforce it later.
- Transfer: we may transfer our rights and obligations to an organisation that takes over our Services, and will tell you if we do; your rights under these Terms will not be reduced. You may not transfer your rights without our written consent.
- Third parties: no one other than you and IDEaL has any right to enforce these Terms.
- Notices: we may send notices to the email address on your account or order; you may send notices to the email or postal address in section 27.
- Electronic agreement: these Terms are accepted electronically, which is valid under the Evidence Act 2011 and other applicable law. We keep a record of the version you accepted.
